Veritek Technologies Inc. Proposed Qualifying Transaction

Abstract:
Veritek Technologies Inc. (the "Corporation") is pleased to announce the details outlining its proposed Qualifying Transaction with Omni-Lite E-FORM Technologies Inc. The Corporation has entered into a letter of intent dated April 11, 2006, for the acquisition of all the issued and outstanding shares (the "E-FORM Shares") in the capital of Omni-Lite E-FORM Technologies Inc. ("E-FORM").

E-FORM is developing a series of technologies to provide nanostructured materials to customers in the Aerospace, Military, Resource Development, Sports and Recreation and Medical Industries.
