Abstract:
IQE plc (AIM: IQE), the leading global supplier of advanced wafer
products and wafer services to the semiconductor industry, announces
details of a placing and additional listing in connection with the
acquisition of UK based NanoGaN Limited announced today.

Placing
Noble & Company Limited has placed 4 million new ordinary shares of
1p each in the capital of the Company ('Placing Shares') at 14.0p per
share ("Placing Price") to raise £0.56 million (before expenses) to
finance the cash consideration payable on completion of the
acquisition (the 'Placing').
The Placing is conditional, inter alia, on admission (''Admission'')
of the Placing Shares to trading on AIM, a market operated by London
Stock Exchange plc (the ''London Stock Exchange'') ('AIM') (which is
the market on which the Company's existing issued ordinary shares are
admitted to trading) occurring by no later than 7 October 2009. The
Placing Price represents a nil discount to the closing mid-price of
an existing issued ordinary share of 14.00p on 2 October 2009, the
latest practicable date prior to the posting of this announcement.
The Placing Shares will rank pari passu with the existing ordinary
shares of the Company.
Additional Listing
Application has been made to the London Stock Exchange for a further
1,819,134 ordinary shares of 1p each in the capital of the Company
('Consideration Shares') to be admitted to trading on AIM. The
Consideration Shares are being issued in satisfaction of part the
initial consideration for the acquisition of NanoGaN Limited
announced today. The Consideration Shares will rank pari passi with
the existing ordinary shares of the Company.
Application has been made and admission to trading on AIM of the
Placing Shares and the Consideration Shares is expected to occur on 7
October 2009.
Following this issue the total number of ordinary shares in issue
will be 442,512,159. Together the Placing Shares and the
Consideration Shares will represent 1.32 percent of the Company's
enlarged ordinary share capital following admission.
